Ownership and / or Membership in Pehta LP

Pehta is an Indigenous community-owned and led software platform that enables First Nations, Métis and Inuit communities to view, verify, and benefit from the economic impacts that industry claims to generate for their communities. Pehta offers three levels of participation based on access, ownership, and governance. First Nations, Métis Nations and recognized Métis governing organizations, and Inuit communities, governments or recognized Inuit governing organizations may participate as General Members. Ownership remains subject to Pehta’s existing governing agreements.


1.General Member

Purpose: Visibility into the economic activity impacting your nation through Pehta Integrity.

Benefits:

•Access to Pehta Integrity – My Nation: no-cost access to impact data claimed by industry foremployment, procurement, and community contributions.

•Community Reporting: Real-time dashboards of employment, procurement, and community contributions.

•Engagement in Pehta Foundation: Nomination a representative to the Pehta Framework Community Acceptance Board.

•No financial requirement or liability.

Requirements: Formal authorization by the Nation, community, or governing organization. For First Nations, this may be a Band Council Resolution (BCR). For Métis or Inuit participants, an equivalent council, board or governing-body resolution or authorization is acceptable.


2.LP Member (Limited Partner)

Purpose: For eligible Nations ready to share in Pehta’s financial success and participate in impact reporting at a deeper level.

Benefits:

•General Member benefits plus:

•Profit Participation: 100 Units in Pehta LP, with equitable share of Distributable Cash.

•Priority Distributions: 100% of on-reserve net income, 60% of traditional territory projects.

•Formal Ownership Recognition: Certificate for 100 units in Pehta LP.

•Quarterly financial reports and expanded analytics.

•Limited liability.

Requirements: Subject to the Pehta Limited Partnership Agreement, including required Nation authorization, executed Limited Partnership Agreement, $100 contribution for 100 units, required use of Pehta Integrity for all Nation project-based reporting, and adherence to OCAP/confidentiality provisions.


3.LP/GP Member (Limited Partner + General Partner Shareholder)

Purpose: For eligible Nations wishing to hold both ownership and governance influence.

Benefits:

•General Member and LP Member benefits plus:

•Governance Authority: Voice in the governance of Pehta (GP) Inc., which manages Pehta LP.

•Voting Rights: 100 Common Shares in Pehta (GP) Inc., participation in shareholder meetings and directorelections.

• Strategic Influence: Vote on corporate policies, leadership, and governance amendments.

• Enhanced Profit Linkage: Ownership across both entities aligns technology growth with LP distributions.

• Recognition as a Founding Governance Nation demonstrating leadership in Indigenous data governance and OCAP principles.

• Nominal liability is limited to GP corporate scope.

Requirements: Must meet LP Member requirements, execute GP Unanimous Shareholder Agreement, and contribute $100 for 100 shares.
